This is a key position that involves high-level interaction with senior management, board members, and external regulators. You will be instrumental in ensuring seamless board administration, accurate documentation, and consistent adherence to corporate governance best practices. Key Responsibilities:
- Ensuring our bank is in compliance with all statutory and regulatory requirements, including the Companies Act and Bank Negara Malaysia regulations.
- Facilitate board effectiveness by supporting directors in fulfilling their fiduciary duties, including director on-boarding, continuous professional development, and ensuring timely access to accurate information for decision-making.
- Serve as the key liaison for board-related matters, coordinating with directors, shareholders, and external parties as needed.
- Plan and manage board and committee meetings, including the preparation of agendas, logistical arrangements, and accurate recording and distribution of meeting minutes.
- Develop and maintain the annual board and committee calendar and support the Board and Nomination Committee in conducting periodic board evaluations and director assessments.
- Prepare and file statutory returns, resolutions, and required corporate documents in a timely and accurate manner.
- Maintain current knowledge of corporate governance best practices and regulatory changes, providing recommendations to enhance governance structures and policies.
- Oversee the corporate secretarial function, ensuring effective document control and policy compliance.
- Provide sound advice to the senior management team and the Board on corporate governance, legal obligations, and compliance requirements.
- Collaborate with internal stakeholders such as legal, compliance, risk, and finance teams to align governance practices and standards across the organization.
- Monitor legal and regulatory updates, assess organizational impact, and implement necessary changes to policies and governance procedures.
- Act as a key point of contact with regulatory bodies including SSM, in ensuring timely submissions and governance disclosures.
- Maintain accurate records and ensure the confidentiality and security of sensitive corporate information.
- Promote a culture of ethical behavior, integrity, and governance excellence throughout the organization.
Qualifications:
- Bachelor’s degree in Law, Business Administration, or a related field.
- Professional qualification such as ICSA (Institute of Chartered Secretaries and Administrators) is highly desirable.
- Proven experience as a Company Secretary or Assistant Company Secretary within a bank, financial institution, or listed company in Malaysia.
- Strong knowledge of the Companies Act, BNM Corporate Governance, Bursa Malaysia listing requirements, and relevant legal and regulatory frameworks.
- Familiarity with financial industry compliance standards and board governance procedures.
- Excellent communication and interpersonal skills, with the ability to engage confidently with senior stakeholders and board members.
- High standards of professionalism, discretion, and confidentiality in handling sensitive information.
- Strong organizational skills with meticulous attention to detail and the ability to manage multiple priorities under tight deadlines.
- Proficiency in MS Office (Word, Excel, PowerPoint) and corporate secretarial software.
- Fluent in English and Bahasa Malaysia, both written and spoken.
